These Terms & Conditions (“Terms”) govern your access to and use of the website at transcenda.io and any product, application, or service we provide that links back to these Terms (collectively, the “Services”). The Services are operated by Transcenda Computer Systems, Dubai, UAE (“Transcenda”, “we”, “us”, “our”). By accessing the Services you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction (whichever is greater), and able to enter into a binding contract. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts and Transcenda ID

Some Services are accessed via Transcenda ID, our single sign-on at id.transcenda.io. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us immediately at [email protected] of any unauthorized access. Each individual Service may have its own product-specific terms; those apply in addition to these Terms.

3. Acceptable use

When you use the Services you must not:

• break the law or infringe anyone’s rights;
• scrape, mirror, or systematically copy the site or its content without our written consent;
• reverse-engineer, decompile, or attempt to extract source code, except to the extent that law expressly permits it;
• send spam, phishing attempts, abusive content, or malware through any contact channel we provide;
• attempt to disrupt, overload, probe, or bypass any security or rate-limiting mechanism;
• use the Services to build a competing product or train a model on our content without express written permission.

4. Intellectual property

The Services, including all text, graphics, logos, code, and trademarks, are the property of Transcenda or its licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. All other rights are reserved.

5. Your content

If you submit content (for example through a contact form, a Service you subscribe to, or a support thread), you grant us a worldwide, royalty-free license to host, store, and process it solely as needed to deliver and improve the Services and to comply with the law. You represent that you have the right to submit that content.

6. Third-party services

The Services rely on third-party providers (hosting, analytics, identity, messaging, payments). Their terms and privacy policies apply to your use of their components. We are not responsible for the content or practices of third-party sites linked from ours.

7. Disclaimers

The Services are provided “as is” and “as available”. To the maximum extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

8. Limitation of liability

To the maximum extent permitted by law, Transcenda and its officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill arising from your use of the Services. Our total aggregate liability for any claim relating to the Services will not exceed the greater of the amounts you paid us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars (USD 100).

9. Indemnification

You agree to indemnify and hold Transcenda harmless from any claim, damage, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

10. Suspension and termination

We may suspend or terminate your access to the Services at any time if we believe you have violated these Terms or if doing so is necessary to protect Transcenda, our users, or third parties. You may stop using the Services at any time.

11. Governing law and venue

These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. The courts of Dubai, UAE, will have exclusive jurisdiction over any dispute arising under these Terms, except that we may seek injunctive relief in any competent court to protect our intellectual property or infrastructure.

12. Changes

We may update these Terms from time to time. The effective date at the top of this page reflects the most recent version. Continued use of the Services after a change constitutes acceptance of the updated Terms.
